Article I - Name and Purpose
Section 1.01 - The name of this organization shall be Philadelphia Area Girls Soccer or PAGS.
Section 1.02 - The purpose of this organization shall be to promote, foster, and perpetuate the game of soccer on an amateur level for girls, and to provide competition for its member Clubs and teams in accordance with the highest standards of good sportsmanship and fair play.
Section 1.03 - Upon dissolution of this organization, assets shall be distributed for one or more exempt purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or shall e distributed to the federal government, or to a state or local government, for a public purpose.
Section 1.04 - The representative colors of the League shall be red, white, and royal blue.
Article II - Territory and Headquarters
Section 2.01 - The territory of the organization shall consist primarily of all, or portions of: Berks, Bucks, Chester, Dauphin, Delaware, Lancaster, Lehigh, Montgomery, Northampton, Philadelphia, and York in the Commonwealth of Pennsylvania; the counties of Kent, New Castle, and Sussex in the State of Delaware; various counties in the State of New Jersey; and various counties in the State of Maryland.
Section 2.02 - The headquarters of the organization shall be within its territorial boundaries. All meeting shall be held within the territorial boundaries of the organization, in such place as shall be determined from time to time by the Council of this organization.
Article III - Membership
Section 3.01 - This organization shall consist of any number of amateur Clubs or teams which apply each year, qualify, and are accepted for membership. Clubs may register as many teams as they wish, subject to any requirement to provide a minimum number of fields or active Referees as a condition of membership. A Club or team need not be located within the territory referred to in Section 2.01 to qualify for membership.
Section 3.02 - Application for membership and registration of teams shall be made annually at a time and in such form as determined by the Council.
Section 3.03 - The Council, or its delegated representative, shall have sole and final authority to determine the qualifications of and to accept or reject any applicant for membership in this organization.
Section 3.04 - Each team shall pay an annual application fee, in the amount specified by the Council, at the time of team application.
Section 3.05 - A Club maintains food standing in the organization by fulfilling all of its obligations, including paying all fees and fines in a timely manner. Any Club not in good standing with PAGS may be refused acceptance and/or registration of its teams, players, and coaches. This rule is not to be circumvented by teams registering as independents, by changing Club officers, or by change of Club name.
Article IV - Government
Section 4.01 - This organization shall be governed by its Constitution and By-Laws as presently constituted or as these may, from time to time, be amended, and such rules and regulations which may be promulgated by the Council, except only when these conflict with the Constitution, By-Laws, rules, and regulations of the United States Soccer Federation (USSF), to which this organization shall be subordinate and with which is shall be affiliated.
Section 4.02 - In the event of a conflict between the Constitution and By-Laws of PAGS and the rules of the Eastern Pennsylvania Youth Soccer (EPYS), United States Youth Soccer (USYS), the USSF, of Federation International de Football (FIFA), the Constitution and By-Laws of PAGS shall take precedence. However, if a conflict is due to a change in the rules of EPYS, USYS, USSF, or FIFA, the Executive Committee of PAGS shall review the PAGS rule as soon as possible to determine if the PAGS rule should be similarly changed. The existing rule shall remain in full force and effect until such change is made to the PAGS rule. If PAGS has no policy in the Constitution or By-Laws the rules of the Governing Body shall apply.
Section V - Legislative and Judicial Powers
Section 5.01 - The legislative and judicial powers of this organization, except those which are herein otherwise delegated, shall be vested in a Council consisting of one (1) duly elected or approved Delegate from each member Club.
Section 5.02 - Voting Rights: In all matters properly presented to the Council, each Delegate shall have the right to cast one vote, and in that member’s absence, that right shall vest immediately in his/her registered alternate. The President of this organization shall have no vote except in the case of a deadlock, in which case it shall be his/her privilege to cast a deciding vote. In the absence of the President, whoever is acting in his/her behalf shall be limited to the President’s voting rights.
Section 5.03 - Council Duties and Powers: The Council, except in matters otherwise delegated, shall transact all business of this organization, enforce the laws of the game, and elect Officers of this organization. The Council may, from time to time, create and appoint such committees, Directors, or other persons, to have charge and responsibility for the various activities of this organization. The Council may delegate this responsibility to the President if it is deemed appropriate and desirable. Activities and duties performed by the committees, Directors, and others shall not be contrary to the policies of this organization and shall be reported and subject to the approval of the Council, or if so designated, the PAGS Executive Committee.
Article VI - Officers
Section 6.01 - The Officers of this organization shall be a President, Vice-President, Board Member/Secretary, Board Member/Treasurer, and Board Member/Counsel. All Officers shall be elected at the PAGS Annual General Meeting to serve a term of one (1) year.
Section 6.02 - Nomination and Election of Officers: The President shall appoint a Nomination/Election Committee (Committee) at the November membership meeting. The Committee shall prepare a slate of candidates and present it to the Executive Board for review. After the slate of candidates is presented to the Executive Board the nominations shall be closed and a ballot shall be prepared for the March Annual General Meeting. All nominees must be a Delegate to PAGS, or an active participant in the organization for a minimum of one year, with the exception of nominees for President who must be a member of the Executive Board. Election of Officers need not be made by written ballot, except upon demand by a member at the election before the the voting begins. All Officers of this organization shall be elected by a simple majority vote of the members present.
Section 6.03 - The President shall preside at all meetings of this organization; act as Chair of the Executive Committee; enforce the Constitution and By-Laws, and such rules and regulations which may be enacted by the Council; call such meetings as are herein provided to be called; cast a deciding vote on all issues at any meeting of this organization; sign all contracts and documents of this organization with the Secretary, when same are duly authorized by the Council; and perform such other duties as the Council may, from time to time, direct.
Section 6.04 - The Vice-President shall perform all of the duties and and exercise all of the powers of the President during his/her absence or incapacity; shall act as Chair of the Arbitration Committee; and shall perform such other duties as the President may, from time to time, direct.
Section 6.05 - The Board Member/Secretary shall perform all of the duties and and exercise all of the powers of the President and/or Vice-President during their absence or incapacity; serve as Secretary of this organization, signing all contracts and documents of this organization with the President, when the same are duly authorized by the Council; and shall perform such other duties as the President may, from time to time, direct.
Section 6.06 - The Board Member/Counsel shall serve as Legal Counsel to the organization and shall perform such other duties as the President may, from time to time, direct.
Section 6.07 - The Board Member/Treasurer shall oversee the collection and deposit of all monies in the name of this organization, with a repository that shall be approved by the Council; oversee the keeping of financial accounts and records; ensure liquidation of all bills against the organization after same have been approved by the Council when necessary; ensure that appropriate Federal and State tax filings are made annually; ensure that the state of the finances of the organization are reported at each meeting of this organization; ensure that a budget is prepared for approval by the Council annually; and shall perform such other duties as the President may, from time to time, direct.
Section 6.08 - Any Officer may be removed from office by a two-thirds (2/3) majority of Council members present when the matter is considered.
Section 6.09 - In the event a vacancy occurs in any Office, the Council shall fill the vacancy in the same manner as herein prescribed for the election of Officers at the Annual General Meeting.
Section 6.10 - The PAGS Representative(s) to EPYS, and Alternates, shall be designated by the President, and are not members of the Executive Committee by virtue of their status as Representative or Alternate, though they may be chosen from members of the Executive Committee. The PAGS Representative(s) to EPYS will attend EPYS meetings and shall vote in accordance with instructions received from the Council and Executive Committee. PAGS Representative(s) to EPYS must uphold the policies, needs, and philosophies of PAGS, including the desire to independently manage its own membership to the maximum extent possible. PAGS Representative(s) to EPYS must report all relevant EPYS activities to the President without delay, and to the membership at regular meetings. The number of PAGS Representative(s) to EPYS is determined by EPYS.
Section 6.11 - The President may appoint Assistant Registrars to assist the PAGS Registrar. The Registrar and any Assistant Registrars shall not be members of the Executive Committee unless they hold a position of an Officer under this Article.
Article VII - Executive Committee
Section 7.01 - The Executive Committee shall consist of the Officers of this organization.
Section 7.02 - Duties and powers: The Executive Committee shall transact such business of this organization as is designated by the Council. All actions exercised by the Executive Committee shall be subject to the approval of the Council. In the absence of an Arbitration Committee the Executive Committee shall serve in that capacity. The Council need not approve decisions by the Executive Committee acting in that role, except in the case of subsequent appeal. The Executive Committee may take whatever action it deems necessary and appropriate to further the best interests of the organization, as long as these actions are not inconsistent with the Constitution and By-Laws of the organization. Any such actions are subject to review by the Council.
Article VIII - Meetings
Section 8.01 - The Annual General Meetings of this organization are generally held on the third Monday in the month of April at 7:00 pm. The Secretary shall notify all members of the Council of the place and time of the Annual General Meeting no later the the first week of April. Email notification shall be considered written notification.
Section 8.02 - Regular Meetings of this organization shall be held at 7:00 pm as follows: the second Monday in September and the second Monday in November. The Secretary shall notify all members of the Council of the place and time of the meetings no later than one week prior to the meeting. Email notification shall be considered written notification.
Section 8.03 - Special Meetings of this organization may be called at any time by the President or upon written demand of three (3) or more member Clubs upon the Secretary, at which time a meeting shall be called by the President within seven (7) days of receipt of such demand and before the Regular or Annual General meetings. The membership must be notified in writing three (3) days before a Special Meeting. Email notification shall be considered written notification.
Section 8.04 - Each member Club of this organization should have a Delegate or authorized Alternate, in attendance at all meetings. Attendance at the PAGS Annual General Meeting is mandatory. Delegates have the responsibility of representing their Club at these meetings, transmitting information from PAGS to their Club/teams in a timely manner, and advising their Club/teams on League matters and programs. Failure of a Club to be represented at the Annual General Meeting may result in a fine of $100 and/or placement of the Club on probation.
Article IX - Quorum
Section 9.01 - The presence of the Delegates, or authorized Alternate, of at least four (4) member Clubs shall constitute a quorum to transact business at any meeting of this organization.
Article X - Amendments
Section 10.01 - The Constitution and By-Laws of this organization may be altered, amended, supplemented, or replaced by a majority vote of the members of the Council present at a Meeting, provided the proposed change(s) have been read at the previous Meeting.
All previous editions of the Constitution of this organization are hereby repealed and declared null and void whether or not the included provisions conflict with this edition. This edition shall be known as the December 2014 Revision.
